By accessing or using the services provided by Emergent Tech, LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

1. Service Description

We provide an AI-powered platform that enables users to build, deploy, and manage full-stack applications. Our platform may generate code, configure databases, set up authentication, integrate APIs, install packages, configure background jobs, and perform other development tasks using artificial intelligence and automated systems.

2. No Warranties - Use at Your Own Risk

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We explicitly disclaim all warranties including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any guarantee that the service will be uninterrupted, secure, or error-free
• Any warranty regarding the accuracy, reliability, or quality of any AI-generated code or configurations
• Any guarantee that AI-generated code will be secure, functional, or free from vulnerabilities
• Any warranty that deployments will succeed or applications will function as intended

3. AI-Generated Code and User Responsibility

YOU ARE SOLELY RESPONSIBLE FOR ALL CODE, CONFIGURATIONS, AND APPLICATIONS CREATED USING OUR PLATFORM.

You acknowledge and agree that:

• AI-generated code may contain errors, security vulnerabilities, or legal issues
• You must review, audit, and test all code before use in production environments
• We are not responsible for any consequences of using AI-generated code
• You assume all risks associated with deploying applications created on our platform
• You are responsible for ensuring your applications comply with all applicable laws
• You are responsible for maintaining backups of your data and code

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMERGENT TECH, LLC SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER.

This includes but is not limited to:

• Direct, indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Data breaches, security incidents, or unauthorized access to your applications
• Costs of procurement of substitute services
• Damages arising from AI-generated code, including security vulnerabilities
• Service interruptions, deletions, errors, or delays
• Deployment failures or application downtime

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST 30 DAYS, OR $100, WHICHEVER IS LESS.

5. Indemnification

You agree to indemnify, defend, and hold harmless Emergent Tech, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the service
• Applications you create or deploy using our platform
• Your violation of these terms
• Your violation of any third-party rights
• Any security breaches or vulnerabilities in your applications
• Any content or data you process through the service

6. Security and Data

You acknowledge that:

• No system is completely secure
• We make no guarantees about the security of our platform or your data
• You are responsible for implementing appropriate security measures in your applications
• We may access your data as necessary to provide the service
• We are not responsible for any data loss or corruption

7. Third-Party Services

Our platform may integrate with or install third-party packages, libraries, APIs, and services. You acknowledge that:

• We are not responsible for third-party services or their functionality
• Third-party services have their own terms and licenses
• You are responsible for compliance with all third-party terms
• We make no warranties about the compatibility or legality of third-party integrations

8. Intellectual Property

You retain ownership of your applications and data. However:

• Code generated by AI may be similar to code generated for other users
• We do not guarantee the originality or uniqueness of AI-generated code
• You grant us a license to use your data to provide and improve the service
• We may use anonymized usage data for analytics and AI training

9. Service Modifications and Termination

We reserve the right to:

• Modify, suspend, or discontinue the service at any time without notice
• Terminate your account for any reason or no reason
• Delete your data and applications at any time
• Change pricing, features, or limitations without notice
• Refuse service to anyone for any reason

10. Acceptable Use

You may not use our service to:

• Create applications that violate laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Abuse, harass, or harm others
• Compete with or reverse engineer our service
• Violate export control laws or economic sanctions
• Access the service from embargoed countries or regions

10a. Export Control and Sanctions

You represent and warrant that:

• You are not located in, or a resident of, any country subject to U.S. embargo or sanctions
• You are not listed on any U.S. government list of prohibited or restricted parties
• You will comply with all applicable export control and sanctions laws
• You will not use the service to develop weapons, nuclear technology, or for any military purpose

We reserve the right to suspend or terminate service to users in sanctioned countries or on restricted party lists without notice or refund.

11. Payment and Billing

If you subscribe to a paid plan:

• Fees are non-refundable
• We may change pricing at any time
• You are responsible for all charges incurred under your account
• We may suspend or terminate service for non-payment

12. No Support Obligations

We are not obligated to provide support, maintenance, updates, or bug fixes. Any support we choose to provide is at our sole discretion.

13. Beta Features

Features may be released in beta or experimental form. Beta features are provided without any warranties and may be changed or discontinued at any time.

14. Governing Law and Arbitration

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

BINDING ARBITRATION: Any dispute arising from these terms or your use of the service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

• Arbitration will be conducted in Delaware or remotely via videoconference
• You waive your right to a jury trial
• You waive your right to participate in class actions or class arbitrations
• The arbitrator's decision is final and binding
• Each party bears their own costs and attorneys' fees unless otherwise awarded by the arbitrator

This arbitration agreement survives termination of your account or these terms.

15. Changes to Terms

We may modify these terms at any time by posting updated terms on our website. Changes become effective immediately upon posting. Your continued use of the service after changes constitutes binding acceptance of the new terms. If you do not agree to changes, you must stop using the service immediately.

16. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full effect.

17. Entire Agreement

These terms constitute the entire agreement between you and Emergent Tech, LLC regarding the service.
